DUTIES:

The Company (“ZUMA”) will create and customize a WordPress website and educate the Client (for further edits, tracking, analytics, new posts, and e-commerce). In that role, the Company will be responsible for installing WordPress onto the domain, purchasing theme, installing theme, customizing widgets and plugins, installing e-commerce modules, adding pages (but not content), providing limited custom graphics and logos, and providing up to one (1) hour of in-person training.

The Client is responsible for providing content, limited graphics, stock photography if desired, and takes full responsibility for communication and scheduling of the project. The Client is responsible for responding to emails and revisions within 48 hours. The Client is responsible for transmitting content and pictures via email or Dropbox, and subsequent revisions must be submitted IN FULL and not piecemeal.

Please refer to the SOW for more terms and conditions in regards to revisions for your package. ZUMA cannot be responsible and will not be held liable for damages concerning project completion dates.

ZUMA does not include free hosting as part of its pricing packages anymore. Websites made prior to 3/2013 will be honored according the terms below. For pricing plans that feature included hosting, ZUMA reserves the right to suspend and/or cancel hosting for sites who have not fully paid or have not complied with the consulting agreement. ZUMA-provided hosting is free and in effect for the lifetime of the initial design of the site. If the client builds another site with (or without ZUMA) in the future, the lifetime free hosting plan will be nullified. ZUMA reserves the right to notify the client if hosting must be moved, amended or cancelled for any reason (including increased and overbearing technical resource usage) and will not be held liable for hosting or email disruptions or catastrophic events, even at the error of ZUMA or the hosting provider.

Your use of the Site is at your own risk. Neither ZUMA nor any other party involved in creating, producing or delivering the Site is liable for any direct, incidental, consequential, indirect or punitive damages arising out of your access to, or use of, the Site. This includes damages to, or for viruses that may infect, your computer equipment. Unauthorized use of the images on the Site may violate copyright, trademark, privacy and/or publicity laws as well as communications regulations and statutes.

 

COMPENSATION:

As compensation for the services rendered pursuant to this Agreement, the Client shall pay ZUMA a flat rate.  The Company agrees to begin work on the website within 7 days of receipt of invoice. Only packages over $999 may be split into two payments (one at the start and one upon completion). To split up payments under $999 will require a 10% surcharge. If the Client chooses to split up payments, the Company will notify the Client when final payment is expected in accordance to the revision schedule. Final payment must be received within 7 days or the site may be suspended or deactivated.

Once invoiced, the Client states that they are responsible for completing their tasks for providing content, and the Client is responsible for paying 100% of the invoiced payment even if the Client’s tasks are not dutifully and completed in a timely fashion. (An incomplete website due to the client is not ZUMA’s responsibility.) ZUMA may request the entirety of the payment after up to 3 email notifications and/or phone calls. If no payment is received after 7 days, ZUMA reserves the right to suspend or deactivate the website until payment is received.

ZUMA may, at any time, revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should, therefore, periodically visit this page to review the then current Terms and Conditions.
